By using the services of Zabenno, signing up for a Zabenno account or supplying work related to our service, you accept these Terms, which are legal and binding.
Zabenno (“Zabenno” “we,” or “us”) offers a video editing platform which includes video planning, editing and animation (“Service”). The website located at https://zabenno.com/ will contain the functionalities you need to use our service. “You” refers to the “Client”, who is a customer of the Service or represents an individual or organisation considered to be a customer of the Service. The Service allows the Client to provide video footage, other materials and content, as well as a description of the particular video project (collectively as “Content”) to the Editor.
You will be required to create an account using your email. You have access and control over your profile and your interactions with the Service.
By providing us with your email address, you consent with the use of your email address to send Service-related notices to you. If you wish to opt-out of such communications, contact us.
When creating your account, you are required to provide correct and complete, information.
In the event of any breach of security or unauthorized usage of your account, please inform Zabenno as soon as possible.
The usage of the Service by anyone below the age of 13 is strictly prohibited.
Zabenno retains the right to modify these terms any time. Unless explicitly stated elsewhere, all modified terms shall automatically take effect once they become public. Your continuous use of the Service after it has been modified means that you accept the new Terms.
You agree not to engage in the following restrictions when you use the Service: (i) the use of any sort of automated system, including the use of “spiders”, “bots”, “offline readers”, etc. to access the Service; (ii) circulating, divulging or copying any portion of the Service via any platforms; (iii) attempting to interfere with, manipulate and decipher any transmissions, or trying to compromise the system security or integrity of the servers running the Service; (iv) the transmission of chain letters, spam, and unsolicited emails; (v) actions done that inflict or potentially impose an unreasonable or disproportionately large load on our infrastructure; (vi) collecting confidential and personal information of any users from the Service; (vii) uploading data that is invalid, or may contain viruses, worms and the likes; (viii) impersonating anyone, or misrepresenting your association with another individual or entity; or (ix) accessing contents in the Service using any technological means other than those allowed and given by the Service.
For any reason, we may opt to permanently or temporarily end or defer your access to the Service without any form of prior notice and/or liability.
Zabenno retains the right to modify the Service without any form of prior notice; cease the delivery of the Service or its features to you or to users; or create limitations to the Service.
As a Client, you consent not to post any Content that: (i) could potentially lead to damage or loss to persons or properties; (ii) could possibly lead to harm, emotional distress, disability, disfigurement, physical or mental injury, physical or mental illness or death to yourself, to another person or any animal; (iii) consists of any information that we believe to be unlawful, threatening, harmful, defamatory, abusive, invasive of publicity rights or personal privacy, profane, libelous, harassing, humiliating to other people, or otherwise offensive; (iv) comprises of any information that you’re not permitted to give under any fiduciary or contractual relationships or law; (v) has content or information that you know to be outdated or incorrect. (vi) could possibly represent, encourage or further tort or a crime.
Zabenno retains the right, although under no obligation, to determine whether or not to reject and/or delete any Content that we believe violates these Terms.
As a Client, you are solely accountable for the Content you post, and you’re liable for the penalties as well as costs of uploading and/or publishing such Content.
A Client is allowed to approve or decline a current project at the release of the final result. The client reviews, comments and approves the video project worked on by the Editor. If a client isn't satisfied with any result during the editing process, requests for changes should be sent within five (5) days after the delivery of the last version of the result. In the event that the Client does not communicate with Zabenno for more than ten (10) days, we may opt to terminate such a project.
A client may request for not more than two revisions. More than two revisions will attract extra charges. During the revision process, Zabenno retains the right to ask the Client to send the full payment for the ongoing project before any other revisions can be done.
In the event a client isn't satisfied with the production and result thirty (30) days after the beginning of the project, Zabenno may opt to terminate such a project.
Fees and Billing
Zabenno retains the right to add new products or services for extra charges, or modify fees for current services.
The Client is asked to pay a non-refundable 30% of the project fees as a down payment at the beginning of any project or whenever a service is requested. The payment of the remaining charges is due before the final result is delivered. As soon as all fees have been paid off, Zabenno will hand over the end product to the client.
A third-party payment processor, paddle, is used to process all payments that go through the Service. Zabenno is not liable for any security or privacy breaches by the processor.
The website may feature links to other websites that are owned and operated by third parties (the "External Sites"). Nonetheless, even if the third party is affiliated with Zabenno, we have no form of control over these linked websites, which have their own privacy practices and terms, independent of Zabenno. Zabenno has no form of responsibility or liability for these independent policies, terms or actions, and is not responsible in any way for the privacy practices or content of such websites. These linked websites are only for your convenience and, hence, you access them at your own risk. Links do not imply that Zabenno endorses, sponsors, is affiliated with or in association with, or has been legally authorized to use any trademarks, patent, logo, design, symbol or other copyrighted materials displayed on or accessible via such External Sites. Nonetheless, Zabenno seeks to protect the integrity of its website and the links placed upon it and hence requests any feedback on not only its own website, but for websites it links to too (including if a specific link is not functional). You should contact the Site administrator for the External Sites if you have any concerns concerning such links or the content on such External Sites.
Zabenno, as well as its licensors and subsidiaries, offers no guarantee that the content given is truthful, correct, complete or updated; that the video editing service provided will meet you standards or be up to your expectations; that the service will always be available at any particular time or place; that any mistakes or flaws will be amended.
You are solely responsible for any destruction to your computer system or data loss arising out of the usage of the Service or from downloads containing viruses and the likes.
The website is provided “as is" as well as "as available", and without any form of warranties or conditions (whether express or implied, such as the implied warranties of merchantability, fitness for a purpose, accuracy, title and non-infringement, arising by any statute or otherwise in law or from any course of dealing or usage or trade). We disclaim all and make no form of representations or warranties, whether express or implied, as to the reliability, quality, or identity of any third party, or as to the correctness of the postings on the website by any third party. Some jurisdictions don't allow for some or all the foregoing limitations on implied warranties, so to that highest extent, if any, some or all of the above limitations may not be applicable to you.
You will indemnify and hold harmless Zabenno and its affiliates, agents, parents, and employees, from and against all damages, liabilities, costs, losses and other expenses (including attorney fees and costs regarding litigation) resulting out of or relating to a violation by you of any representation, warranty, or obligation in this Agreement, or resulting out of or relating to any negligent or intentional act or omission done by you, in line with the performance of any the Service, which act or omission results into any claim for damages against you, Zabenno and/or its affiliates, parents, employees or agents. Zabenno expressly denies any obligation to defend and/or indemnify you from and against any third-party claims made against you resulting out of any negligent or intentional act or omission done by you in line with the performance of the Service.
Scope of Liabilities
As allowed by the highest extent of relevant law, Zabenno assumes no form of responsibility or liability for any (i) damage to property or personal injury arising out of the use and access of the service; (ii) errors, mistakes, flaws or inaccuracies in your content; (iii) viruses, Trojan horses or the likes which may be transferred to or via Zabenno by third-party entities; (iv) unsanctioned access to our secured servers and all the personal data that are contained therein; (v) cessations and interruptions of transmissions being done via the Service; (vi) user content containing illegal, defamatory, offensive or criminal acts or statements made by third parties, and/or (vii) oversights or mistakes in your content, or damages or losses sustained arising from any content posted, transferred, emailed or in any manner made available via the Service.
The foregoing limitation will be applicable to highest extent allowable by relevant law in the pertinent jurisdiction.
This agreement, alongside any modifications and any further contracts you may enter into with Zabenno regarding the Service, shall establish the complete and whole agreement between you and Zabenno.
If any portion of this contract is deemed void by a court of relevant jurisdiction, the baselessness of such portion will not affect the legitimacy of the other portions of this Agreement.
While Zabenno may assign without any restriction under this agreement, you may not transfer or assign any rights and licenses granted herein. Any attempts at transferring or assigning will be deemed as violations, and will thus be deemed null and void.
Our failure to implement any right or provision under this agreement shall not be seen as a relinquishment of such right or provision.
Information We Collect
There are a number of means in which we collect information from users on the website:

- Surveys – When you fill up any surveys or polls on the website.

Code of Conduct
Although written to apply precisely to Zabenno, the Code aligns with, and integrates guidelines that have been published by the British Copyright Council in its “Principles of Codes of Conduct for Collective Management Organizations.” The Code shows commitment to best practices in customer service as well as internal governance. Therefore, we deem it fitting to follow it for our Notice and Take Down Policy.
Making report of infringement
Any individual or organization that makes a Report (the “Notifier”) has the duty to make sure that it is correct, truthful and complete. Zabenno should be able to verify that Reports based on an investigation as regard a criminal offence originating from an inspection or investigation service, or – in the event of a formal legal order – from the office of the Public Prosecutor. A Report of any other form other than the foregoing should include at least the information below:
- The Notifier’s contact details such as name, organization, function, home/office address, email address, and telephone number);
- all relevant information Zabenno needs so as to evaluate the lawfulness or otherwise of the disputed content, including its location (URL);
- the motivation of the reason(s) why Zabenno is the most appropriate intermediary to handle the matter.
The Notifier will offer Zabenno an express indemnity against 1) all claims from the user whose content is in conflict or dispute (“Content Provider”) regarding any actions Zabenno has taken in in line with dealing with the Report, and 2) all claims from the Notifier regarding the content send via the Service.
The Notifier might request Zabenno to handle the report as a matter of urgency. In such a case, the Report should prove all reasons for such urgency. Zabenno determines based on sole discretion whether the report should be handled as a matter of urgency based on the foregoing explanation.
Zabenno shall evaluate the Report and categorize it into one of following:
- a punishable content based on the report of an inspection or investigation service, or – in the event of a formal legal order – by the office of the Public Prosecutor;
- an unequivocally unlawful content and/or punishable content based on the report of other sources order than the authorities identified under 1); and
- all other content, not under the category 1) or 2).
Zabenno’s categorization of the Report determines the measures to be taken towards addressing the Report.
If Zabenno determines that the content to be unequivocally unlawful or punishable, based on categories 1) and 2), Zabenno will ensure that the content is removed immediately;
If Zabenno determines that the content is not unequivocally unlawful or punishable, based on category 3), the content shall not be removed. Zabenno will inform the Notifier in view of that;
In the event that Zabenno is not or is insufficiently able to judge or ascertain whether the content is unequivocally unlawful or punishable, Zabenno will inform the Content Provider about the Report with the request to (i) permit Zabenno to remove such content; or (ii) to contact the Notifier. If the Notifier and the Content Provider cannot reach any agreement, the Notifier can then make an official report to the police if a criminal offence might be involved. If it concerns content alleged to be unlawful under civil law, Notifier can bring the dispute with the Content Provider before a relevant court of law. In the event that the Content Provider is unwilling to sufficiently identify himself to the Notifier, Zabenno has the right to (i) provide the Notifier with the Content Provider’s name, email address as well as IP-address or (ii) to remove the alleged content.
Categorization and proper measures will preferably be done as soon as possible, yet ultimately 10 days after getting the Report.
Due caution In the event that the infringing content is to be removed, Zabenno shall exercise due caution to make sure that no more than the necessary content, based on the Report, is removed.
